These Terms of Use ("Terms") govern your access to and use of Tohora Karetao (the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of the Service

Tohora Karetao is a software platform that lets you configure and run automated trading strategies against a brokerage account you connect via Alpaca, including through Alpaca's OAuth integration. The Service does not itself hold your funds or securities, execute trades directly, or act as a broker-dealer.

2. Eligibility and Account Registration

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use of your account. We offer optional two-factor authentication and encourage you to enable it.

3. Trading Risk Disclosure

Trading securities and cryptocurrencies involves substantial risk of loss and is not suitable for everyone. Automated and algorithmic trading strategies, including any offered through the Service, may lose money, may malfunction, and may not perform as intended, including during periods of high volatility, low liquidity, or service interruption. Past performance is not indicative of future results. Nothing in the Service constitutes investment, legal, or tax advice, and no content should be construed as a recommendation to buy or sell any security. You are solely responsible for your trading decisions and their outcomes.

4. Third-Party Brokerage Services

Trade execution, custody of funds and securities, and account statements are provided by Alpaca Securities LLC and/or Alpaca Crypto LLC ("Alpaca"), not by Tohora Karetao. Your use of Alpaca's services is governed by Alpaca's own terms and privacy policy, and by any authorization you grant Alpaca via API key or OAuth. We are not responsible for the acts, omissions, availability, or performance of Alpaca or any other third-party service the Service integrates with.

5. Acceptable Use

You agree not to misuse the Service, including by attempting to gain unauthorized access to any account or system, interfering with the Service's operation, or using the Service for any unlawful purpose.

6. Intellectual Property

The Service, including its software, design, and content, is owned by Tohora Karetao or its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any right to use our trademarks or branding.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

8. Limitation of Liability

To the fullest extent permitted by law, Tohora Karetao and its owners, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or trading losses, arising from or related to your use of the Service.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if you violate these Terms or if we reasonably believe doing so is necessary to protect the Service or other users.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the jurisdiction in which Tohora Karetao operates, without regard to conflict-of-law principles.
